1. Acceptance of Terms

By accessing or using the services provided by Monar AI LLC ("Monar AI," "we," "us," or "our") at monar.ai and related applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Monar AI. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Monar AI provides a platform that integrates with your existing business tools and workflows to build AI-powered infrastructure. Our Service includes system integration, workflow automation, and AI agent deployment across your technology stack.

3. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this age requirement. If you are using the Service on behalf of an organization, you represent that you are an authorized representative with the authority to accept these Terms on the organization's behalf.

4. Account Registration & Security

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

5. Subscription & Payment

Monar AI offers paid subscription plans. By subscribing, you agree to the following:

  • Fees are billed in advance on a recurring basis (monthly or annually) as specified in your chosen plan.
  • All fees are non-refundable except as required by law or as explicitly stated in a separate agreement.
  • We may change pricing with 30 days' advance notice. Continued use after the price change takes effect constitutes acceptance.
  • If payment fails, we may suspend access to the Service until payment is resolved.

6. Permitted Use & Restrictions

You may use the Service only for lawful business purposes. You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware, spam, or other harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use the Service in any way that violates applicable laws or regulations
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service beyond what the Service is designed to provide

7. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Monar AI and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of the data and content you provide through the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing and improving the Service.

8. User Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in our Privacy Policy.

You retain all rights to your data. We do not sell your data to third parties. Upon termination of your account, you may request export of your data in a portable format.

9. Google Account Integration

If you choose to connect your Google account to the Service, the following applies:

  • We access only the Google data scopes you explicitly authorize through the OAuth consent flow.
  • Our use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements.
  • You may revoke Google access at any time through your Google Account settings.
  • Revoking Google access may limit or disable features of the Service that depend on Google integrations.

10. Third-Party Services & Integrations

The Service may integrate with third-party applications and services. Your use of such integrations is subject to the respective third party's terms and privacy policies. Monar AI is not responsible for the practices or availability of third-party services.

We do not endorse or assume liability for any third-party service. Integrations are provided "as-is" and may be modified or discontinued as third-party APIs change.

11. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONAR AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO MONAR AI IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Monar AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

13. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice.

Upon termination:

  • Your right to use the Service ceases immediately.
  • We will retain your data for 30 days to allow you to request export, after which it will be deleted or anonymized.
  • Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws provisions. Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in California.

15. Dispute Resolution

Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us at legal@monar.ai. If a dispute cannot be resolved informally within 30 days, either party may pursue formal resolution.

For disputes not resolved informally, the parties agree to submit to binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted in California. The arbitrator's decision shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive relief in court for intellectual property matters.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and provide reasonable notice (such as email or in-app notification). Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
